Assistant Company Secretary Cape Town

A well-established organisation is seeking an Assistant Company Secretary. Must have CGISA / CIS qualification. This role is responsible for the planning, implementation, administration and processing of all corporate governance and company secretarial matters across the group and its subsidiaries.

Salary: Market Related CTC per month, depending on experience.

Minimum Requirements:

  • Matric with CGISA / CIS qualification
  • 5+ Years experience as corporate governance and company secretary
  • Strong knowledge of the Companies Act and King IV
  • Proficient in MS Office and company secretarial software
  • Excellent verbal and written communication skills
  • High attention to detail and accuracy
  • Ability to engage confidently with internal and external stakeholders

Key responsibilities:

  • Support the Company Secretary in fulfilling statutory duties in line with the Companies Act, 2008, King IV and other relevant legislation
  • Prepare governance and compliance documentation including board resolutions, agendas, notices, AGM documentation, MOIs and committee terms of reference
  • Manage statutory submissions to CIPC, including annual returns, director documentation and company registrations
  • Maintain statutory records, governance documents, structure charts and company secretarial schedules
  • Coordinate board and committee meetings, annual workplans and meeting calendars
  • Prepare and distribute board packs, agendas, notices and minutes accurately and timeously
  • Attend board, committee and shareholder meetings, take minutes and ensure proper record keeping
  • Act as liaison between the Board and internal/external stakeholders
  • Assist with governance advice, compliance risk identification, policy drafting, ESG reporting input, B-BBEE verification and audit-related matters
  • Support onboarding of new board members and assist with board evaluations, director fees and related administration
